By accessing or using the website located at fsvventures.autos (the Site) and any services provided by FSV VENTURES LLC (Company, we, us, or our), you agree to be bound by these Terms of Service (Terms). FSV VENTURES LLC provides technology consulting, systems architecture and design, digital infrastructure management, and managed IT services (collectively, the Services). The scope, deliverables, timelines, and fees for any specific engagement are defined in a separate written agreement, statement of work, or service contract executed between the Company and the client.

The Site provides general information about our Services and allows you to contact us regarding potential engagements. Use of the Site alone does not create a client relationship. A formal client relationship is established only upon execution of a written agreement signed by authorized representatives of both parties.

3. Intellectual Property Rights

3.1 Our Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design and arrangement thereof, is the exclusive property of FSV VENTURES LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

FSV VENTURES, the FSV VENTURES logo, and all related names, marks, and symbols are trademarks or registered trademarks of FSV VENTURES LLC. You may not use any of our trademarks without our prior written consent.

3.2 License to Use the Site

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes in accordance with these Terms. This license does not include the right to:

In no event shall our total liability to you for all claims arising under or related to these Terms exceed the amount paid by you, if any, to FSV VENTURES LLC for access to or use of the Site during the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless FSV VENTURES LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

8. Termination

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal action, you agree to first contact us at contact@fsvventures.autos and attempt to resolve the dispute informally. If the dispute is not resolved within sixty (60) days of such notice, either party may proceed to formal action.

10. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect. The failure of FSV VENTURES LLC to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

11. Entire Agreement

These Terms constitute the entire agreement between you and FSV VENTURES LLC regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. For services provided under a separate written agreement, the terms of that agreement shall govern to the extent of any conflict with these Terms.
